Spectris Acquires DISCOM GMBH

Spectris plc, the productivity-enhancing instrumentation and controls company, today announces that it has completed the acquisition of the German privately-held DISCOM Elektronische Systeme und Komponenten GmbH. The up-front purchase consideration of EUR15.8 million will be met from existing cash and bank facilities and is subject to routine balance sheet adjustments. In addition, contingent consideration may become payable to the sellers based on the achievement of certain milestones for a period of up to three years beginning 26 July 2016.

DISCOM is a leading provider of acoustical and vibration quality analysis, predominantly for powertrain production-line testing within the automotive industry. It provides integrated solutions combining hardware and software to both OEMs and suppliers to enhance production quality and identify potential problems in manufacturing processes. DISCOM will become part of Brüel & Kjær Sound and Vibration within Spectris' Test and Measurement segment.
