Professional Details

Richard is an investment funds and private equity specialist. Richard has over 15 years of legal and commercial experience in the funds and corporate area.

Richard was formerly the partner in charge of Maples and Calder’s London investment funds practice, and has also worked as a senior investment banker in fund related and other trading/structuring businesses.

His experience includes:

  • advising over 80 hedge funds, mutual funds, private equity funds, investment managers and lead managers/placing agents. These clients include major banking and institutional houses, as well as leading independent managers. His advisory experience includes the full range of fund business; including launch and establishment, licensing, reorganisation, dissolution/insolvency, down stream investments, listings, debt financing, distribution/ placing agency, migrations and taking/granting security. 
  • advising over 8 major investment banking houses, on the launch of over 100 hedge fund linked derivatives and financings. 
  • advising on a broad range of other corporate and regulatory matters (including financings, securitisations, restructurings, IPOs, liquidations, licensing, SPVs, repackagings etc.).
  • as an investment banker, launching a wide range of fund linked derivatives and financings. These transactions were across all formats (balance sheet notes, SPV notes, fund share formats, ISDA, loans, financing notes, onshore, offshore etc). These transactions ranged from bilateral privately negotiated transactions through to retail and mass market products, tailored to the relevant legal, regulatory or tax environment. His experience includes institutional fund design, launch and placement as well as securities issuance platform design and development (including managed account platforms). He has also implemented a wide range of profitable distressed reorganisations and workouts.
Academic Details

Richard graduated in mathematics from New College, Oxford University before completing his legal exams at the College of Law in Guildford.  He qualified as a solicitor in England, spending nearly four years at Linklaters (in the investment management group) before joining Maples and Calder in London where he later became the partner of the firm responsible for the London investment funds practice. Richard subsequently joined Deutsche Bank in their front office fund–linked products team as a Director focussing on the structuring of complex transactions. Richard left Deutsche Bank to join The Royal Bank of Scotland as a managing director in their fund derivatives team. After the merger with ABN Amro, Richard became head of the combined fund-linked structuring and product development team within RBS/ABN. His other responsibilities at RBS included a senior role in a specialist distressed trading team focussed on complex illiquid structured assets as well as wider fund related initiatives. Richard left RBS in 2010 to join Thorp Alberga as a partner.
