Baker & McKenzie Advises on the Global Offering of DYNAM Japan Holdings

Baker & McKenzie’s Securities team recently acted as Hong Kong, US and Japanese law counsel to the joint global coordinators, joint bookrunners and joint lead managers, Shenyin Wanguo Capital (H.K.) Limited, Piper Jaffray Asia Limited and CITIC Securities Corporate Finance (HK) Limited, on the USD200 milion global offfering by DYNAM Japan Holdings Co., Ltd, one of the biggest pachinko hall operators in Japan, with a presence in 46 out of 47 prefectures in Japan.  The shares commenced trading on The Stock Exchange of Hong Kong Limited on 6 August  2012.

Net proceeds from the global share offering will be used to partially finance the set up of 75 new additional pachinko halls; potential acquistion of packinko halls; upgrading existing information teachnology and management systems; and for general working capital.

The multi-jurisdictional Baker & McKenzie team was led by Hong Kong-based Securities partners Elsa Chan and Brian Spires; and Tokyo-based partner Ken Takahashi.  The team had lead responsibility for legal documentation, drafting of the prospectus, corporate and regulatory issues and general transaction management.

DYNAM is the first Japanese company to have its shares listed in Hong Kong and the first packinko hall operator listed on a stock exchange.  The company has 45 years of experience in the pachinko industry, and a nationwide network of 355 halls.
